1. Acceptance of terms
By accessing or using the Alphorithm website (alphorithm.com) or by engaging Alphorithm to provide marketing, SEO, AI, CRM, or related services, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use the site or our services.
2. Who we are
“Alphorithm”, “we”, “us”, and “our” refer to Alphorithm, headquartered in Abu Dhabi, United Arab Emirates. You can reach us at info@alphorithm.com.
3. Services
Alphorithm provides growth-marketing services that may include, without limitation: performance marketing, SEO, content strategy, CRM and lifecycle automation, AI workflow design, conversion optimisation, brand strategy, analytics and reporting.
The scope, deliverables, timelines, and fees for any engagement will be set out in a separate proposal, statement of work, or written agreement (“Engagement Letter”). In the event of a conflict between these Terms and an Engagement Letter, the Engagement Letter will prevail for that engagement.
4. Use of the website
You agree to use the website only for lawful purposes and in a way that does not infringe the rights of others, restrict, or inhibit anyone else’s use and enjoyment of the website. You must not attempt to gain unauthorised access to any part of the site, our infrastructure, or any account that is not yours.
5. Intellectual property
All content on this website — including text, graphics, logos, images, illustrations, and software — is the property of Alphorithm or its licensors and is protected by applicable intellectual-property laws. You may not copy, reproduce, modify, or create derivative works without our prior written consent.
Deliverables produced under an Engagement Letter are subject to the IP terms of that Engagement Letter. Unless otherwise agreed in writing, Alphorithm retains ownership of any pre-existing IP, internal methodologies, and underlying tools and templates.
6. Client responsibilities
To do our best work, we rely on you to provide timely access to information, brand assets, accounts, approvals, and feedback. Delays in providing these may affect timelines and outcomes.
You warrant that any content, assets, or information you provide to us does not infringe any third-party rights and complies with applicable laws and regulations.
7. Fees and payment
Fees are as set out in the applicable Engagement Letter. Unless otherwise agreed, invoices are payable within 14 days of issue. Late payments may be subject to interest at the rate permitted by law and may result in suspension of services.
8. Confidentiality
Each party agrees to keep confidential any non-public information shared by the other party during an engagement, and to use such information only for the purpose of performing the services or evaluating a proposed engagement.
9. No guarantee of specific results
While we work with discipline and care to drive measurable outcomes, marketing results depend on many factors outside our control — including platforms, market conditions, product–market fit, client decisions, and timing. Alphorithm does not guarantee any specific ranking, traffic, conversion, revenue, or financial result.
10. Third-party platforms
Our services often involve third-party platforms (e.g., Google, Meta, LinkedIn, TikTok, CRM tools). You are responsible for compliance with the terms and policies of those platforms. Alphorithm is not responsible for outages, account suspensions, or policy changes by third parties.
11. Limitation of liability
To the maximum extent permitted by law, Alphorithm’s aggregate liability for any claim arising out of or relating to these Terms or any Engagement Letter shall not exceed the fees paid by the client for the specific services giving rise to the claim during the three (3) months preceding the claim. In no event will Alphorithm be liable for any indirect, incidental, special, consequential, or punitive damages.
12. Termination
Either party may terminate an engagement as set out in the applicable Engagement Letter. Sections that by their nature should survive termination (including IP, confidentiality, limitation of liability) shall survive.
13. Governing law
These Terms are governed by the laws of the United Arab Emirates. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, unless otherwise agreed in writing.
14. Changes to these Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a new “Last updated” date. Continued use of the website after changes are posted constitutes acceptance of the updated Terms.
